These Terms and Conditions (“Terms”) govern your access to and use of the Prodja wholesale management platform — including Prodja Hub, the Prodja Sales App, and the Prodja Wholesale Storefront (collectively, the “Service”) — operated by Prodja from New South Wales, Australia.
By accessing the Service or completing the onboarding process, you agree to be bound by these Terms. If you are accepting on behalf of a business, you represent that you have authority to bind that business.
1. The Service
Prodja provides a wholesale management platform comprising three products:
- Prodja Hub — a web-based management interface for products, customers, orders, and promotions
- Prodja Sales App — a mobile application (iOS and Android) for field sales representatives to take orders at customer visits
- Prodja Wholesale Storefront — a branded B2B ordering portal for your wholesale customers to place orders online
Access to specific products depends on your subscription plan. We reserve the right to modify or discontinue features with reasonable notice.
2. Eligibility
You must be at least 18 years old and operating as or on behalf of a legitimate business entity to use the Service. The Service is intended for B2B wholesale businesses.
3. Account Setup and Onboarding
Access to Prodja begins with a setup call and onboarding process managed by our team. You agree to provide accurate and complete information during onboarding, including business details, product catalogue data, and customer information.
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately at [email protected] if you suspect unauthorised access.
4. Subscription Plans and Billing
The Service is offered on a subscription basis. Plan details, limits, and pricing are available on the Pricing page. Plans are billed monthly or annually as agreed during onboarding.
- Subscriptions renew automatically unless cancelled at least 14 days before the renewal date
- Payment is processed through Stripe; you authorise us to charge your nominated payment method
- All fees are in Australian dollars (AUD) unless otherwise specified
- We will provide reasonable notice of any price changes before the next billing period
5. Refunds
Subscription fees are non-refundable except where required by Australian Consumer Law. If you believe you are entitled to a refund, contact us at [email protected] and we will assess your request in good faith.
6. Your Data
You retain ownership of all data you upload to or create within the Service, including your product catalogue, customer records, and order history. By using the Service, you grant us a limited licence to store and process that data solely for the purpose of delivering the Service to you.
We do not use your business data to train models, sell to third parties, or use for any purpose other than operating and improving the Service.
7. Third-Party Integrations
The Service supports integrations with third-party platforms including Xero and InvoiceNinja. Your use of these integrations is subject to the terms and privacy policies of those third parties. We are not responsible for the conduct or availability of third-party services.
8. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorised access to any part of the Service or other users' accounts
- Use the Service to transmit spam, malware, or any harmful content
- Reverse engineer, decompile, or otherwise attempt to extract source code from the Service
- Resell or sublicence the Service without our prior written consent
9. Intellectual Property
All software, interfaces, designs, and documentation comprising the Service are owned by or licensed to Prodja and are protected by Australian and international intellectual property laws. You may not copy, reproduce, or create derivative works from any part of the Service without our express written permission.
10. Limitation of Liability
To the fullest extent permitted by law, Prodja's total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.
We are not liable for any indirect, incidental, consequential, or special damages, including loss of profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages.
Nothing in these Terms limits liability that cannot be excluded under the Australian Consumer Law, including guarantees as to acceptable quality and fitness for purpose.
11. Indemnification
You agree to indemnify and hold harmless Prodja and its personnel from any claims, losses, liabilities, or expenses (including reasonable legal costs) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.
12. Suspension and Termination
We may suspend or terminate your access to the Service if you breach these Terms, fail to pay subscription fees, or engage in conduct we reasonably consider harmful to the Service or other users. We will provide notice where practicable.
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or through a notice in Prodja Hub at least 14 days before the changes take effect. Your continued use of the Service after that date constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of New South Wales.
